These Terms & Conditions ("Terms") constitute a legally binding agreement between you (“User,” “you,” or “your”) and TheAlgoman Technologies ("TheAlgoman," "we," "our," or "us") regarding your access to and use of our platform, software, and associated services. By accessing or using TheAlgoman in any manner, you agree to be bound by these Terms.

1. Acceptance of Terms

By using the TheAlgoman platform, you confirm that:
⦁ You have read and understood these Terms.
⦁ You accept and agree to abide by them fully.
⦁ You are at least 18 years of age and legally competent under Indian law to enter into a binding contract.
If you do not accept these Terms, you must immediately stop using TheAlgoman.

2. Nature of Services

TheAlgoman provides an automation platform that enables users to connect their own demat/brokerage accounts with algorithmic trading strategies. Our offerings include:
⦁ Algorithm execution plugins,
⦁ Broker API integration,
⦁ Real-time trade automation dashboards.

We do not:
⦁ Provide personalized investment advice,
⦁ Manage or pool funds,
⦁ Guarantee profits or returns from strategy execution.
We are not registered under SEBI as an Investment Adviser (IA) or Portfolio Manager (PMS).

3. User Responsibilities

You, as a user, are solely responsible for:
⦁ The strategies you build, run, and deploy,
⦁ The capital you choose to allocate,
⦁ Understanding and accepting market risks,
⦁ Securing your API keys, passwords, and trading credentials,
⦁ Ensuring your use of the platform is lawful and compliant with regulatory standards.

You agree not to:
⦁ Use TheAlgoman for illegal or unethical purposes,
⦁ Copy, reproduce, or reverse engineer any aspect of the software,
⦁ Attempt unauthorized access to any part of the system or other users' data.

4. Account Creation & Access

To use the platform, you must register an account and provide accurate, current, and complete information.
You are responsible for:
⦁ Maintaining confidentiality of your login credentials,
⦁ Any actions taken under your account (whether or not authorized by you),
⦁ Notifying us immediately of unauthorized access or security breaches.
We reserve the right to suspend or terminate accounts suspected of fraudulent activity or misuse.

5. Subscription Plans & Billing

⦁ Access to TheAlgoman may be available through free or paid subscriptions.
⦁ Paid plans are billed monthly, quarterly, or annually as selected.
⦁ Fees once paid are non-refundable, except in cases where explicitly stated under a separate refund policy.
⦁ Failure to renew or make timely payments may result in suspension of service.
We reserve the right to revise pricing and features upon reasonable notice.

6. Integration with Broker APIs

By integrating with brokers like Zerodha, Upstox, Dhan, or Angel One via official APIs, you agree to:
⦁ Grant TheAlgoman permission to place, modify, or cancel orders on your behalf as per your configured algorithms,
⦁ Accept that TheAlgoman acts solely as a technical execution platform, not a broker or advisor,
⦁ Understand that execution failures, broker-side issues, or API limitations are outside our control.

We shall not be held responsible for:
⦁ API outages, broker errors, or denied orders,
⦁ Delays in order placement or misfires due to third-party system issues,
⦁ Margin restrictions or regulatory rejections imposed by brokers.

7. Strategy Usage and Limitations

⦁ All strategies are configured and deployed by you.
⦁ We may offer sample strategies for educational purposes only.
⦁ We do not vouch for the profitability, accuracy, or stability of any strategy.
⦁ You must understand, test, and configure your strategies independently.

8. Intellectual Property Rights

All elements of TheAlgoman platform including the name, logo, codebase, interface, documentation, and original content are:
⦁ Owned by TheAlgoman Technologies,
⦁ Protected under applicable copyright, trademark, and intellectual property laws.

You are not permitted to:
⦁ Resell, redistribute, modify, or rebrand any part of the platform,
⦁ Use our brand or proprietary code without written permission.

9. Suspension & Termination

We may suspend or permanently terminate your access without notice if:
⦁ You violate any provision of these Terms,
⦁ You misuse or abuse the service in any form,
⦁ Required by law or regulatory authorities.
You may also choose to terminate your account by contacting us. Termination does not release you from liabilities accrued before termination.

10. Disclaimer of Warranties

TheAlgoman is provided on an "as-is" and "as-available" basis. We make no warranties or guarantees that:
⦁ The platform will be uninterrupted, error-free, or secure,
⦁ Trading outcomes will be profitable,
⦁ Data and calculations will always be accurate or timely.
We disclaim all express and implied warranties, including fitness for a particular purpose, merchantability, and non-infringement.

11. Limitation of Liability

To the maximum extent allowed under law, TheAlgoman Technologies, shall not be liable for:
⦁ Any direct or indirect loss of capital,
⦁ Missed opportunities or unrealized gains,
⦁ Errors in order execution,
⦁ Emotional, psychological, or professional impact.
In no event shall our liability exceed the subscription fee paid in the last three months preceding a claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless TheAlgoman, its affiliates, employees, officers, and partners from and against any claims, damages, liabilities, and expenses arising from:
⦁ Your use or misuse of the platform,
⦁ Your breach of these Terms,
⦁ Your violation of any third-party rights.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India.
In case of any dispute:
⦁ Jurisdiction will lie exclusively with the courts of Mumbai, Maharashtra,
⦁ We encourage amicable resolution before pursuing legal recourse.

14. Refund Policy

TheAlgoman does not provide refunds for services already rendered or subscriptions already billed, except in the following cases:
⦁ Duplicate billing due to technical error,
⦁ Service unavailability for more than 5 consecutive days due to a fault on our side.
All refund requests must be raised within 7 working days from the incident by emailing support@thealgoman.com.

15. Fair Usage Policy

We are committed to providing a reliable and scalable service to all our users. Excessive usage that threatens platform stability or attempts to bypass system limits may result in:
⦁ Temporary suspension,
⦁ Account throttling,
⦁ Permanent ban in severe cases.
Examples include but are not limited to:
⦁ Spamming API requests,
⦁ Abnormal or malicious bot behavior,
⦁ Continuous unauthorized attempts to access restricted areas.

16. Service Level Agreement (SLA)

We strive to maintain 99.5% uptime on our core services. However, downtime may occur due to:
⦁ Broker outages,
⦁ Scheduled maintenance (with prior notice),
⦁ Force majeure events like cyber-attacks, power outages, or natural disasters.
TheAlgoman will not be liable for indirect losses during such downtimes. Critical service disruptions will be communicated via email or dashboard notifications.

17. Modifications to Terms

We reserve the right to revise or update these Terms at any time. When we do:
⦁ We will post the updated Terms on this page,
⦁ Continued use of the platform post changes constitutes acceptance.
It is your responsibility to review these Terms periodically.
